Welcome to Dialaxy. These Partner Terms and Conditions (“Agreement”) are a legal agreement between Dialaxy (“we, ” “us, ” or “our”) and You (“Partner, ” “Affiliate,” or “Referrer”). By participating in the Dialaxy Referral Program or the Dialaxy Affiliate Program (collectively, the “Programs”), you agree to be bound by these terms. If you do not agree to these terms, you may not participate in the Programs.
This program is intended for individual users to invite their personal network.
The Reward: You earn $10 USD in Dialaxy Credits for each Successful Referral.
The Incentive: Your referred friend receives a $2 USD welcome credit.
Successful Referral Defined: A referral is successful only when a new user:
Credit Status: Rewards are issued as account credits, which have no cash value and cannot be withdrawn or transferred outside of the Dialaxy platform.
This program is intended for businesses, influencers, and marketers.
The Commission: You earn a 20% recurring commission on the base subscription price of every successful sale made via your affiliate link, for as long as the referred customer remains on an active paid plan with Dialaxy. Commission ceases automatically if the referred customer downgrades to a free plan, cancels their subscription, or their account is terminated for any reason.
Expansion Commission: If the referred customer adds additional team members or seats to their workspace, you earn 20% recurring commission on those additions as well, subject to the same conditions above.
Platform: This program is managed via PartnerStack. You must maintain an active and verified PartnerStack account to receive payouts.
Payouts: Payments are issued upon successful verification of the transaction and customer account status. See Section 4.1 for full payout details.
Age: You must be at least 18 years old.
Identity: We reserve the right to request tax documentation (e.g., W-9 for US residents) or identity verification before issuing any cash payouts or large credit sums.
One Account Rule: You may only hold one Partner account. Any attempt to create multiple accounts to “self-refer” is a material breach of this Agreement.
To protect the integrity of Dialaxy, we strictly prohibit the following. Violation will result in immediate termination and forfeiture of all unpaid rewards/commissions:
Self-Referral: You may not sign up for Dialaxy through your own referral or affiliate link.
This includes using different email addresses, family members’ names, or shared IP addresses.
Fraudulent Activity: Using bots, temporary email services, or stolen credit cards to generate sign-ups.
Search Engine Marketing (SEM) Restrictions: You may not bid on “Dialaxy” or any variation (e.g., “Dialaxy reviews, ” “Dialaxy coupons”) in Google Ads, Bing Ads, or any other search engine.
Spamming: Sending unsolicited emails, mass social media DMs, or using automated “spam bots” to post your link. All email marketing must comply with the USA CAN-SPAM Act.
Misrepresentation: You may not create “copycat” websites that look like the official Dialaxy site or claim to be an official employee of Dialaxy.
Incentivized Traffic: You may not offer your own cash rewards or “kickbacks” to people to get them to sign up through your link.
Tracking: We use cookies to track referrals. For the Affiliate Program, the cookie duration is 90 days from the date of the referred user’s first click on your affiliate link. If a user clears their cookies or uses a different browser before signing up, the referral may not be tracked and no commission will be owed.
Last Click Wins: Our system operates on a “Last Click” basis. If a user clicks two different affiliate links, the last link clicked before signing up will receive the commission.
No Cookie, No Commission: Dialaxy is not responsible for referrals that cannot be tracked due to ad blockers, private browsing,or cookie deletion by the referred user.
Payout Date: Commissions are processed and paid on the 13th of each calendar month for all verified transactions from the prior calendar month.
Example: January commissions → paid on February 13th.
Rollover: Commissions whose 30-day hold period has not expired by the monthly payout date will automatically roll over to the following month’s payout cycle.
Payout Threshold: Commissions become available for withdrawal once verified and approved by Dialaxy, subject to PartnerStack’s minimum withdrawal thresholds and payout schedule.
Refund & Chargeback Policy: All commissions are subject to a mandatory 30-day hold period from the date of the referred customer’s transaction. If a referred customer requests a refund or initiates a chargeback within 30 days, the associated commission will be reversed in full. If your PartnerStack balance is insufficient to cover the reversal, the deficit will be deducted from future commissions.
Payout Methods: Payments are processed through PartnerStack’s available payout methods. Dialaxy is not responsible for delays caused by PartnerStack or your financial institution.
Currency: All commissions are paid in USD regardless of your local currency. Any conversion fees are the sole responsibility of the Partner.
Unpaid Balances on Termination: If your account is terminated without cause and your balance meets PartnerStack’s minimum withdrawal threshold, your final payout will be processed on the next scheduled payout date. If terminated for cause (fraud, breach of terms), all unpaid commissions are permanently forfeited.
Nothing in this Agreement creates a partnership, joint venture, agency, or employment relationship. You are an independent contractor. You are solely responsible for any taxes (federal, state, or local) arising from your earnings.
Dialaxy grants you a limited, non-exclusive, non-transferable license to use our brand assets (logos, banners) solely to promote Dialaxy under these Programs. You may not alter our logo or use it in any way that damages our brand reputation.
Termination: We may terminate your participation at any time for cause, effective immediately. Termination without cause requires 30 days written notice. Earned commissions on verified transactions prior to the termination date will be paid on the next scheduled payout date, subject to PartnerStack’s minimum withdrawal threshold.
Modifications: Dialaxy reserves the right to change commission rates, reward structures, or these terms at any time. We will notify you via email or a dashboard notification. Your continued participation constitutes acceptance of the new terms.
No Warranty: We provide the Programs “as is.” We do not guarantee that you will earn any specific amount of money.
Indemnity: You agree to indemnify and hold Dialaxy harmless from any claims, damages, or legal fees arising from your breach of this Agreement or your violation of any laws.
Limitation: Dialaxy’s total liability to you under this Agreement shall not exceed the total commissions paid to you in the six (6) months prior to the claim.
Governing Law: This Agreement shall be governed by and construed in accordance with applicable international commercial law and the laws of the jurisdiction in which Dialaxy is incorporated.
Dispute Resolution: In the event of any dispute arising under this Agreement, both parties agree to first attempt resolution through good-faith negotiation within 30 days of written notice of the dispute.
Arbitration: If negotiation fails, disputes shall be resolved through binding arbitration. The arbitration shall be conducted in English. The arbitrator’s decision shall be final and binding on both parties.
Waiver of Class Action: You agree to resolve disputes individually and waive any right to participate in a class action lawsuit or class-wide arbitration against Dialaxy.
